Terms of Service
These terms apply when you install the Venqo Shopify app or use the Venqo merchant dashboard.
Draft — lawyer review required before launch
This document is a v1 template tailored to Venqo's actual data flows. It has not yet been reviewed by qualified counsel. Legal entity and jurisdiction are placeholders pending incorporation.
1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the Venqo.ai service ("Service"), operated by [Company legal entity — TBD] ("Venqo", "we"). By installing the Venqo Shopify app or creating a Venqo account you agree to these Terms. If you are entering into the Terms on behalf of a company, you represent that you have authority to bind that company.
2. The Service
Venqo provides an AI shopping assistant that installs on Shopify stores. The Service includes: (a) a storefront widget that answers shopper questions about the merchant's products and orders; (b) a merchant dashboard for configuration, conversation history, and analytics; (c) integrations with the Shopify Admin API, Shopify Storefront MCP, Stripe, and transactional email.
We may add, remove, or change features at any time. Material removals that affect paid features will be communicated at least 30 days in advance.
3. Accounts and eligibility
You must be at least 18 years old and have the legal right to bind the Shopify store you're installing Venqo on. You are responsible for the security of your account credentials and for all activity under your account. Notify us immediately at support@venqo.ai if you suspect unauthorised access.
4. Plans, billing, and refunds
The Service is offered on a free plan and several paid subscription tiers. Current pricing is listed on /pricing. Paid plans bill monthly in advance through Stripe and automatically renew until cancelled. Taxes (VAT, sales tax) are added where required by law.
Cancellation. You can cancel at any time from the dashboard or by uninstalling the app; your plan remains active until the end of the current billing period. We do not issue pro-rata refunds for partial months except where required by law.
Refunds. If the Service is materially unavailable for a sustained period within a billing cycle, contact support and we will evaluate a discretionary refund or credit. We do not offer contractual service-level-agreement credits in v1 of this Service.
Conversation limits. Each plan includes a monthly conversation allowance. Overages may be billed at the rate shown on the pricing page or result in temporary throttling until the next renewal.
5. Availability
We target 99.5% monthly availability for the merchant dashboard and the shopper widget, measured excluding (a) scheduled maintenance announced at least 48 hours in advance, (b) outages of upstream providers (Shopify, Stripe, Anthropic, OpenAI, Supabase, Vercel), and (c) force-majeure events. This target is a goal, not a contractual SLA, in v1 of the Service.
6. Acceptable use
You may not use the Service to: (a) violate any applicable law, (b) infringe a third party's intellectual property, (c) send spam, malware, or content that is illegal, defamatory, deceptive, or sexually exploitative, (d) attempt to reverse-engineer the Service, extract model weights, or circumvent rate limits, or (e) resell the Service without a written agreement. See our Acceptable Use Policy for more detail.
7. Your data and our role as processor
You retain all rights to the shop data and shopper data processed through the Service. You grant Venqo a non-exclusive licence to process that data solely to operate the Service for you, as further described in our Privacy Policy and Data Processing Agreement.
We do not use your data or your shoppers' data to train or fine-tune machine-learning models. See the AI / ML section of the Privacy Policy for the full statement.
8. Third-party services
The Service integrates with Shopify, Stripe, Resend, Anthropic, OpenAI, Supabase, Inngest, and Vercel. Your use of those services is governed by their own terms. We are not responsible for outages, pricing, or policy changes at upstream providers, though we will make reasonable efforts to communicate impacts that affect the Service.
9. Intellectual property
Venqo, the Venqo marks, and the Service (including all software, prompts, templates, and documentation) are owned by Venqo or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription. All rights not expressly granted are reserved.
10. Termination
You may terminate these Terms at any time by uninstalling the Venqo app and closing your account. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, or if required by law or by Shopify. On termination we will retain and delete your data as described in the Privacy Policy.
11. Disclaimer of warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Venqo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI outputs. AI responses may be incorrect; you are responsible for reviewing them before relying on them for a business-critical decision.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each party's aggregate liability under these Terms will not exceed the greater of (a) the fees you paid to Venqo in the 12 months before the event giving rise to the claim, or (b) US $100.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded by applicable law.
13. Indemnification
You will defend and indemnify Venqo against third-party claims arising from your use of the Service in violation of these Terms, the content you provide, or the operation of the Shopify store on which you install Venqo.
14. Governing law and disputes
These Terms are governed by the laws of [Jurisdiction — TBD], without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the courts of [Jurisdiction — TBD], unless you are a consumer in a jurisdiction whose laws require otherwise. Jurisdiction will be confirmed once Venqo's legal entity is finalised and is flagged for legal review before launch.
15. Changes to these terms
We may update these Terms from time to time. For material changes we will notify logged-in merchants by email and in-product at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
16. Contact
Questions or notices under these Terms should be sent to support@venqo.ai.
